BOOKING A VEHICLE, OR PURCHASING ANY SERVICE. BY DOING SO, YOU AGREE TO BE
LEGALLY BOUND BY THESE TERMS

OVERVIEW

These Terms of Service (“Agreement”) govern your access to and use of the website located at
https://iexoticauto.com (the “Site”) and all services provided by iExotic LLC (“iExotic Auto”, “we”,
“us”, or “our”), including but not limited to vehicle rentals, chauffeur services, wedding
transportation, airport transfers, yacht charters, jet charters, corporate event services, and the
Vehicle Management Program.

Our principal place of business is located at 3472 Bering Dr, Houston, Texas 77057. Questions
may be directed to (888) 850-3155 or support@iexoticauto.com.
This Agreement supersedes all prior agreements between you and us regarding the same
subject matter. By accessing our Site or booking any service, you affirm that you have read,
understood, and agree to be bound by these Terms.

1. ELIGIBILITY & GENERAL TERMS

By using our Site or Services, you represent and warrant that:

You are at least 21 years of age (minimum age to rent a vehicle with us, regardless of applicable state law majority age);
You hold a valid driver’s license issued by a U.S. state or foreign government recognized in the United States;
You have not been convicted of a DUI, DWI, or reckless driving offense within the past five (5) years;
You are legally authorized to enter into binding contracts;
All information you provide to us is accurate, current, and complete.

We reserve the right, at our sole discretion and at any time, to:

Restrict, suspend, or terminate your access to all or any part of the Site or Services;
Refuse, cancel, or modify any reservation for any reason, including but not limited to safety concerns, misrepresentation, or prior violations;
Update, change, or discontinue any part of our Services with or without notice.

You agree that we will not be liable to you or any third party for exercising these rights.

Internal record-keeping
Improvement of products and services
Periodic promotional emails about new products, special offers, or other relevant information
Market research outreach via email, phone, fax, or mail
Customization of the website based on user interests
Provision of user information to third-party partners for marketing or promotional purposes
(Note: iExotic assures users that their information will never be sold.)

1.2 Rental Agreement & Electronic Signature

Prior to taking possession of any vehicle or commencing any Specialty Service, you will be required to review and execute a Rental Agreement or Service Agreement (the “Agreement”) via electronic signature using a tablet device, DocuSign, or equivalent e-signature platform. The executed Agreement incorporates these Terms of Service in their entirety by reference.

By executing the Agreement electronically, you acknowledge and agree that:

Your electronic signature has the same legal force and effect as a handwritten signature under the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code Chapter 322) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.);
You have had the opportunity to read both the Agreement and these Terms of Service in full prior to signing;
You are bound by all terms, conditions, and policies contained in the Agreement and these Terms from the moment of signature;
iExotic LLC will retain a copy of the executed Agreement, which may be used as evidence in any dispute, chargeback, or legal proceeding.

iExotic LLC reserves the right to refuse vehicle delivery or service commencement to any person who declines to execute the Agreement.

2. RIGHT TO REFUSE SERVICE

Exotic Auto reserves the right to refuse service to any individual or entity, at any time and for any reason, including but not limited to

Prior damage to or misuse of any iExotic Auto vehicle;
Violation of these Terms or any prior rental or service agreement;
Providing false, fraudulent, or incomplete information;
Behavior that is disruptive, threatening, or unsafe to our staff, vehicles, or other customers;
Failure to meet eligibility requirements (age, license, insurance, etc.);
Any other reason we deem necessary to protect our assets, staff, or business interests.

This right applies to all services offered by iExotic Auto — including vehicle rentals, chauffeur
services, specialty services, and online bookings. Refusal of service does not entitle the
customer to any compensation, damages, or explanation beyond what is required by law.

Notwithstanding the above, iExotic LLC does not refuse service on the basis of race, color,
religion, sex, national origin, disability, age, sexual orientation, or any other characteristic
protected under applicable federal, state, or local law. All refusal decisions are made on
legitimate, non-discriminatory business grounds only

3. VEHICLE RENTAL TERMS

3.1 Reservations & Payment

All reservations require a valid credit card at the time of booking. We accept major credit cards.
Debit cards may be accepted for certain vehicle categories at our discretion.
A security deposit ranging from $1,000 to $10,000 (depending on vehicle value and rental type)
will be pre-authorized on your credit card at the time of vehicle pickup. The specific deposit
amount for your reservation will be disclosed in the Rental Agreement.
Security deposit hold release is subject to the following terms:

Standard release: the pre-authorization hold will be released within 1 to 3 business days of vehicle return, following satisfactory completion of our post-return inspection;
Extended hold: if the vehicle is returned with damage, excessive cleaning requirements, outstanding violations, or other conditions requiring further assessment, the hold may be extended for up to 14 business days while the assessment is completed;
Partial or full forfeiture: the deposit may be partially or fully applied to cover unpaid rental charges, damage costs, cleaning fees, traffic violations, towing fees, or any other amounts owed under these Terms or the Rental Agreement;
Dispute process: if you dispute a deposit deduction, you must notify us in writing at support@iexoticauto.com within 7 days of the charge. We will respond within 5 business days with supporting documentation. Unresolved disputes are subject to the arbitration process in Section 20.

Hold release timelines are dependent on your card issuer’s processing times. iExotic LLC is not
responsible for delays caused by your bank or credit card provider after we have submitted the
release. Full payment for the rental period is due at the time of pickup unless otherwise agreed
in writing.

3.2 Vehicle Availability

While we make every effort to confirm and fulfill your reservation, iExotic LLC does NOT guarantee the availability of any specific vehicle at the time of pickup. Unforeseen circumstances beyond our control — including but not limited to mechanical failure, accidents, prior damage, weather events, or regulatory holds — may result in the unavailability of your reserved vehicle.

By completing a reservation with iExotic LLC, you acknowledge and agree that:

Vehicle availability is subject to change without notice due to unforeseen circumstances;
In the event your reserved vehicle is unavailable, iExotic LLC will offer you the choice of:
- (a) a substitute vehicle of equal or greater MSRP within the same vehicle class (e.g., supercar, luxury SUV, exotic convertible), at no additional cost; or
- (b) a full refund of all amounts paid for that reservation;
The choice between a substitute vehicle and a full refund rests solely with the customer — iExotic LLC will not require you to accept a substitute;
If you accept a substitute vehicle, all terms of these Terms of Service and the original Rental Agreement apply in full to the substitute;
If you elect a full refund, it will be processed within 5 business days to the original payment method;
iExotic LLC shall not be liable for any incidental, consequential, or indirect damages arising from vehicle unavailability, including but not limited to travel costs, lost business, or inconvenience.

3.3 Age & License Requirements

Drivers must be at least 21 years of age. Drivers between 21–24 years of age may be subject to a Young Driver Surcharge and vehicle category restrictions. All drivers must present a valid driver’s license and must be listed on the rental agreement.

3.4 Authorized Drivers

Only individuals listed on the rental agreement (‘Authorized Drivers’) may operate the vehicle. Any unauthorized driver voids all insurance coverage and the renter assumes full personal liability for any damages, accidents, or violations.

3.5 Vehicle Use Restrictions

You agree that the rented vehicle WILL NOT be used for:

Any illegal purpose, including street racing, reckless driving, or operation under the influence of alcohol or drugs;
Off-road driving or on unpaved roads;
Towing or pushing any other vehicle or trailer;
Transporting hazardous materials;
Commercial purposes (including ridesharing platforms such as Uber or Lyft) unless explicitly authorized in a separate commercial agreement;
Driving outside the State of Texas without our prior written consent;
Any use that voids or reduces applicable insurance coverage.

3.6 Mileage Policy

Each rental includes a daily mileage allowance as specified in your rental agreement. Miles driven in excess of the allowance will be charged at the per-mile rate stated in your agreement. Mileage is recorded at pickup and return.

3.7 Fuel Policy

Vehicles are delivered with a full tank of fuel. You are required to return the vehicle with a full tank. Failure to do so will result in a refueling charge at a rate not to exceed 150% of the prevailing local market price per gallon, plus a refueling service fee of up to $75.

3.8 Cancellations & Modifications

Cancellation and modification policies vary by vehicle tier and reservation type. The following general policy applies unless a separate written agreement states otherwise:

Cancellations made more than 72 hours before pickup: 75% refund;
Cancellations made 24 hours or less before pickup or no-shows: 50% refund;
Modifications are subject to vehicle availability and may result in rate adjustments.

All cancellations must be submitted in writing to support@iexoticauto.com.

3.9 Late Returns

Vehicles must be returned by the date and time specified in the rental agreement. Late returns without prior approval will be charged at 1.5× the daily rental rate for each additional day or partial day, plus any applicable incidental costs.

4. INSURANCE & DAMAGE LIABILITY

4.1 Renter's Responsibility

You are responsible for the vehicle from the time you take possession until it is returned and inspected by our staff. This includes theft, vandalism, weather damage, and accidents — whether or not you are at fault.

4.2 Insurance Requirements

You are required to maintain personal auto insurance with minimum liability limits of $100,000/$300,000/$100,000 that covers rental vehicles, OR to purchase our optional collision damage waiver (CDW) product at the time of booking. Proof of insurance must be presented at pickup.

iExotic Auto does not provide liability insurance. You or your personal insurer are fully responsible for any third-party claims arising from your use of the vehicle.

4.3 Collision Damage Waiver (CDW)

Our optional CDW reduces your financial liability for physical damage to the rented vehicle, subject to a deductible as stated in your rental agreement. The CDW does NOT cover:

Damage resulting from violation of these Terms or the rental agreement;
Theft of personal belongings;
Interior damage caused by smoking, staining, or burns;
Damage to tires, rims, or undercarriage from improper use;
Damage caused while driving under the influence.

4.4 Damage Reporting

Any accident, theft, or damage to the vehicle must be reported to us within 2 hours of occurrence by calling (888) 850-3155. You must also file a police report for any accident involving third parties, injury, or theft. Failure to timely report damage may result in denial of CDW coverage and personal liability for all costs.

5. GPS TRACKING & TELEMATICS DISCLOSURE

5.1 Tracking Consent

All vehicles in the iExotic Auto fleet are equipped with GPS tracking devices and telematics systems. By taking possession of any vehicle, you expressly consent to the collection and monitoring of the following data throughout the duration of your rental:

Real-time and historical GPS location of the vehicle;
Vehicle speed, acceleration, and braking data;
Engine status, mileage, and operational diagnostics;
Geo-fence boundary alerts (entry and exit notifications);
Ignition on/off events and timestamps.

5.2 Purpose of Tracking

GPS and telematics data is collected solely for the following legitimate business purposes:

Theft prevention and vehicle recovery;
Verification of vehicle location in the event of an accident, dispute, or emergency;
Monitoring compliance with geographic restrictions (e.g., out-of-state travel restrictions);
Confirming mileage and return of the vehicle;
Investigation of damage claims and insurance-related matters.

iExotic Auto does not sell, share, or disclose telematics data to third parties except as required by law, in connection with an insurance or damage claim, or as part of a law enforcement request.

5.3 Speed & Conduct Monitoring

Telematics data may be reviewed following any incident, damage claim, or reported violation. Sustained speeds exceeding 100 mph, aggressive acceleration or braking patterns, or any driving behavior that indicates reckless operation as evidenced by telematics data will:

Void any Collision Damage Waiver (CDW) coverage for damage occurring during or after the flagged conduct;
Result in immediate termination of the rental without refund;
Subject the renter to full financial liability for any resulting damage, injury, or loss.

5.4 Geo-Fence Restrictions

Certain vehicles are subject to geo-fence boundaries. If you receive advance notice of a geographic restriction for your rental, operating the vehicle outside that boundary without prior written approval constitutes a material breach of this Agreement. iExotic Auto reserves the right to remotely disable or recover the vehicle and charge the renter for all associated recovery costs.

5.5 No Personal Surveillance

iExotic Auto does not engage in real-time monitoring of renters for personal surveillance purposes. Tracking data is accessed only when operationally necessary as described in Section 5.2. Data is retained for a maximum of 90 days following the rental period, after which it is deleted unless required for an ongoing claim or legal matter.

6. TRAFFIC VIOLATIONS, TOLLS & FINES

6.1 Renter Responsibility for All Violations

You are solely responsible for all traffic citations, parking violations, toll charges, camera-issued infractions, and any other fees, fines, or penalties incurred during your rental period — regardless of when such charges are assessed or received by iExotic Auto. This responsibility begins at the moment you take possession of the vehicle and ends when the vehicle is returned and checked in by our staff.

Violations include but are not limited to:

Speeding tickets and red-light camera citations;
Parking tickets, street cleaning fines, and meter violations;
Toll charges (including EZ TAG, TxTag, toll-by-mail, and all electronic or manual toll systems);
HOV lane violations;
Towing fees, impound charges, and related storage fees;
Any other civil or municipal penalty assessed in connection with the vehicle.

6.2 Administrative Processing Fee

When iExotic Auto receives a violation notice, toll bill, or fine addressed to the registered owner of the vehicle, we will forward the charge to you and assess a flat administrative processing fee per occurrence as follows:

Toll charges: $15 administrative fee per transaction or billing cycle, in addition to the toll amount owed;
Parking or camera-issued violations: $50 administrative fee per citation, in addition to the fine amount;
Towing or impound: $150 administrative fee, in addition to all towing, storage, and release costs;
All other violations: $50 administrative fee per occurrence.

These fees reflect the administrative cost of receiving, processing, and forwarding third-party notices and are not negotiable. By accepting these Terms, you authorize iExotic Auto to charge the credit card on file for any such amounts.

6.3 Toll Equipment

Our vehicles may be equipped with an electronic toll transponder (such as EZ TAG or TxTag). If a transponder is present in your vehicle, you agree to use it for all applicable toll roads. You will be charged the actual toll amounts incurred plus the processing fee outlined in Section 6.2. Do not remove, cover, tamper with, or disable any toll transponder — doing so will result in a $250 fee plus liability for any resulting toll violations..

If no transponder is present, you are responsible for paying all tolls by cash, card, or toll-by-mail as they arise. iExotic Auto is not responsible for toll-by-mail invoices that are delayed in processing

6.4 Unpaid Violations & Collections

If a violation or fine is not paid within 30 days of notification by iExotic Auto, we reserve the right to:

Charge the full amount plus applicable processing fees to the credit card on file;
Withhold any portion of the security deposit to cover outstanding amounts;
Refer the balance to a collections agency and report the delinquency;
Pursue any other legal remedy available under Texas law.

iExotic Auto is not obligated to contest, appeal, or dispute any violation on your behalf. If you wish to contest a citation, you must do so independently and in a timely manner — iExotic Auto will not be held responsible for missed appeal windows.

6.5 Impoundment

In the event the vehicle is towed or impounded during your rental period, you are required to notify iExotic Auto immediately by calling (888) 850-3155. You are responsible for all costs associated with the release and recovery of the vehicle, including towing fees, impound storage, administrative fees, and any fines required for release. iExotic Auto reserves the right to recover the vehicle directly at your expense if you fail to do so promptly.

7. CHAUFFEUR & SPECIALTY SERVICES

For chauffeur, wedding, airport transfer, corporate event, yacht charter, jet charter, and sprinter van services (collectively, Specialty Services):

iExotic Auto does NOT guarantee the availability of any specific chauffeur, vehicle, or service provider for Specialty Services due to unforeseen circumstances beyond our control — including but not limited to driver illness, vehicle mechanical issues, accidents, extreme weather, or other operational disruptions.

By booking a Specialty Service, you acknowledge and agree that:

Service availability is subject to change without notice due to unforeseen circumstances;
iExotic Auto will make reasonable efforts to arrange a comparable substitute driver, vehicle, or service provider at no additional cost;
If no comparable substitute is available and you choose not to accept an alternative, you will receive a full refund of any amounts paid for that booking;
iExotic Auto shall not be liable for any incidental, consequential, or indirect damages arising from service unavailability, including transportation delays, missed events, or inconvenience.

Additional terms for Specialty Services:

All bookings are confirmed upon receipt of a signed service agreement and required deposit;
Cancellation 24 hours or more prior to the scheduled service: 50% refund of the total booking amount;
Cancellation less than 24 hours prior to the scheduled service or no-shows: No refund;
Additional waiting time, route changes, or service extensions may incur additional fees;
Gratuity for drivers/crew is not included unless specified in writing;
We reserve the right to substitute vehicles or personnel of comparable quality when necessary without breach of contract.

8. SMOKING, PETS, CLEANLINESS & VEHICLE CONDITION

8.1 No Smoking Policy

Smoking of any kind — including cigarettes, cigars, e-cigarettes, vaping devices, marijuana, and any other substance — is strictly prohibited inside any iExotic LLC vehicle. Violation of this policy will result in a mandatory deep-cleaning and deodorizing fee of $750, charged to the credit card on file. If smoke damage requires interior component replacement (headliner, seat leather, carpet, etc.), the renter is liable for the full cost of replacement in addition to the cleaning fee.

8.2 No Pets Policy

Animals of any kind are not permitted inside iExotic LLC vehicles without prior written authorization. Unauthorized pet presence will result in a minimum pet cleaning fee of $500. If pet damage — including scratching, staining, chewing, or odor — requires component repair or replacement, the renter is liable for the full cost of repair or replacement in addition to the cleaning fee.

8.3 Cleanliness Standards

Vehicles must be returned in a reasonably clean condition consistent with normal use. The following conditions will result in a mandatory cleaning fee charged to the renter:

Excessive interior soiling, food waste, or beverage spills: $150–$500 depending on severity;
Vomit or bodily fluid inside the vehicle: $500 minimum, regardless of cause;
Staining of upholstery, carpet, or headliner that cannot be removed by standard detailing: cost of repair or replacement at current market rate;
Exterior damage requiring more than standard washing (mud, paint, adhesive residue, etc.): $150–$400 depending on severity.

iExotic LLC staff will conduct a documented condition inspection at vehicle check-in. Photographs and written notes from this inspection are the authoritative record for any cleaning fee assessment. You will be notified of any charges within 48 hours of return.

8.4 Authorization to Charge

By signing the rental agreement, you expressly authorize iExotic LLC to charge the credit card on file for any cleaning, deodorizing, or damage fees described in this Section without further notice, up to the amounts stated above. Charges in excess of the amounts listed above will be invoiced separately and are subject to the dispute process in Section 22.

9. FORCE MAJEURE

9.1 Definition

A Force Majeure Event means any event beyond the reasonable control of iExotic LLC, including but not limited to: acts of God, hurricanes, tropical storms, tornadoes, flooding, earthquakes, wildfires, extreme weather conditions, acts of war or terrorism, civil unrest or riots, pandemics or public health emergencies declared by a governmental authority, government-mandated shutdowns or curfews, power outages, fuel shortages, or any other event that makes performance commercially impracticable or legally impossible.

9.2 Effect on Service Obligations

In the event of a Force Majeure Event, iExotic LLC’s obligations under any rental agreement, service contract, or these Terms are suspended for the duration of the event. iExotic LLC will not be liable for any delay, cancellation, modification, or non-performance of services caused by a Force Majeure Event, including but not limited to:

Inability to deliver a reserved vehicle on the scheduled pickup date;
Cancellation of chauffeur, airport transfer, or specialty services;
Early termination of an active rental due to mandatory evacuation or government order;
Any consequential damages, lost profits, or travel costs incurred by the renter as a result.

9.3 Refund Policy During Force Majeure

If iExotic LLC cancels or cannot fulfill a reservation due to a Force Majeure Event:

Reservations not yet commenced: full refund of amounts paid, minus any non-recoverable third-party costs already incurred;
Rentals in progress: a pro-rated refund for unused rental days, minus costs already incurred;
No additional compensation, credits, or damages will be owed beyond the amounts stated above.

iExotic LLC will make reasonable efforts to notify affected customers as promptly as circumstances allow via the contact information on file.

9.4 Houston Weather Advisory

Customers are advised that iExotic LLC’s primary operating location in Houston, Texas is within a region subject to annual hurricane season (June 1 through November 30) and periodic flooding events. Customers renting during this period acknowledge the heightened risk of Force Majeure Events and are encouraged to purchase travel protection insurance independently.

10. RACING, RACETRACK & DANGEROUS USE PROHIBITION

10.1 Prohibited Uses

The following uses are strictly and absolutely prohibited, regardless of consent, supervision, or claimed purpose:

Operation of the vehicle on any racetrack, autocross course, drag strip, closed circuit, or any facility designed for competitive or performance driving;
Participation in any organized or informal racing event, timed speed run, or competitive driving activity on public or private roads;
Use of the vehicle in any filmed stunt or content creation involving high-speed driving, drifting, burnouts, or other dangerous maneuvers — unless separately authorized under iExotic LLC’s Media and Productions service agreement;
Deliberate drifting, burnouts, donuts, or any driving technique designed to break traction or stress drivetrain components;
Operation of the vehicle in a manner that triggers sustained acceleration or braking events flagged by the vehicle’s telematics system as consistent with racetrack or stunt use.

10.2 Consequences of Violation

Any violation of Section 10.1 will result in:

Immediate void of all Collision Damage Waiver (CDW) coverage — the renter assumes full personal liability for 100% of all damage, regardless of fault;
Full liability for any mechanical damage, including but not limited to engine, transmission, suspension, tires, brakes, and drivetrain components — even if no collision occurred;
Immediate termination of the rental without refund upon discovery;
Forfeiture of the entire security deposit;
Pursuit of any additional costs exceeding the security deposit through civil legal action.

Telematics data (Section 5) will be used as evidence in any dispute arising from suspected prohibited use. The renter bears the burden of demonstrating that flagged telematics data is inconsistent with prohibited use.

10.3 No Exceptions

There are no exceptions to this prohibition. Claims that the racetrack was private, that the event was non-competitive, that the speed was low, or that no damage resulted do not override this Section. If you require a vehicle for a sanctioned driving event or production, contact iExotic LLC in advance to discuss a separate commercial use agreement.

12. PROHIBITED CONDUCT

When using our Site or Services, you agree NOT to:

Provide false, misleading, or fraudulent information in any booking, account registration, or communication;
Use our Services for any unlawful purpose or in violation of these Terms;
Attempt to circumvent, hack, or disrupt our website’s security or functionality;
Resell, sublicense, or transfer any rental rights without prior written consent;
Harass, threaten, or abuse our staff, contractors, or other customers;
Post or transmit any unauthorized advertising, spam, or malicious code on our platform;
Impersonate any person or entity, including iExotic Auto employees or representatives.

13. ACCOUNTS & SECURITY

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@iexoticauto.com if you suspect unauthorized access to your account. We are not liable for any losses arising from unauthorized account use due to your failure to safeguard your credentials.

You agree to provide and maintain accurate, complete account information. We reserve the right to suspend or terminate any account found to contain false or misleading information.

14. INTELLECTUAL PROPERTY

All content on the Site — including text, graphics, logos, images, video, and software — is owned by or licensed to iExotic LLC and protected by applicable U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes only. You may not reproduce, republish, distribute, modify, or create derivative works from any Site content without our prior written consent.

15. USER-SUBMITTED CONTENT

If you submit reviews, photos, feedback, or other content (Contributions) to our Site, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, display, and distribute your Contributions in connection with our Services. You represent that you own or have the right to submit such Contributions and that they do not infringe any third-party rights.
We may remove or moderate any Contributions at our sole discretion without notice.

16. PRIVACY

Your use of our Services is also governed by our Privacy Policy, available at https://iexoticauto.com/privacy-policy/. By using our Services, you consent to the data practices described in that policy, including collection, processing, and storage of your personal information as necessary to fulfill your reservations and comply with applicable law.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless iExotic LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of our Services; (b) your breach of these Terms; (c) any damage you cause to a rented vehicle; (d) any third-party claims arising from your operation of a rented vehicle; or (e) your violation of any applicable law.

18. DISCLAIMER OF WARRANTIES
